Dangote Petroleum Refinery and Petrochemicals (DPRP) has successfully completed a landmark US$2.5 billion private equity placement, marking what the company describes as Africa’s largest publicly disclosed primary equity private placement by value.
The fundraising exercise, announced on July 23, was oversubscribed by 3.7 times compared to the initial offer size, reflecting strong investor confidence in the refinery’s long-term growth prospects and Africa’s industrial future.
The transaction represents the refinery’s first external equity capital raise beyond its legacy shareholder base and is expected to strengthen the company’s capital structure while supporting the continued expansion of its refining and petrochemical operations.
According to the company, proceeds from the equity placement will finance ongoing expansion projects at the refinery and petrochemical complex, enhance financial flexibility and position the enterprise for future growth initiatives.
The offering attracted a broad mix of African and international institutional investors, sovereign-related investment vehicles, development finance institutions, strategic partners and individual investors.
Notable participants included the Africa Finance Corporation (AFC) and India Infra Buildco, an investment vehicle facilitated by the African Export-Import Bank (Afreximbank). The diversity of investors underscores growing confidence in the refinery’s long-term strategy and the development of African capital markets.
Aliko Dangote, President and Chief Executive of Dangote Industries Limited and Chairman of DPRP, described the successful fundraising as a strategic milestone for the company.
“This is a strategic step to deepen and further institutionalise the enterprise’s shareholder base while raising capital to complement our internal cash flows and external funding as DPRP advances its expansion agenda,” Dangote said.
He added that the transaction demonstrates the company’s commitment to developing domestic refining and petrochemical capacity, reducing Africa’s dependence on imported refined petroleum products and strengthening the continent’s energy security.
David Bird, Managing Director and Chief Executive Officer of Dangote Petroleum Refinery & Petrochemicals, attributed the overwhelming investor response to the company’s operational performance and execution capabilities.
“The exceptional demand we saw is a testament to our operational excellence, execution capacity and investor confidence in DPRP’s leadership,” Bird said.
With the successful completion of the capital raise, the refinery believes it is well positioned to execute its long-term growth strategy while reinforcing Africa’s energy security through world-class refining and petrochemical capacity.
The company said the transaction also highlights sustained investor confidence in its business model and creates a stronger platform for long-term value creation.
